GENERAL TERMS AND CONDITIONS OF SALES

ORDER ACCEPTANCE:
All orders are subject to approval by Charman Manufacturing’s Credit Department prior to acceptance.

TERMS:
Net 30 days for all invoices. Discounts may apply. Invoices must be paid within 30 days from invoice date.

FREIGHT ALLOWANCE:
F.O.B. Shipping Point. We prepay and allow freight to destinations within the most of continental United States on shipments of $1500.00 or more.

UPS AND PARCEL POST:
Orders are subject to a $2.00 per package handling charge.

MINIMUM ORDER:
No order for merchandise will be rendered for less than minimum charge of $100.00 net.

PRICING:
Prices and other terms of sale, including payment, are subject to change without notice. We reserve the right to correct stenographic or clerical errors when these are discovered.

RETURNED GOODS:
Absolutely no material may be returned without our express written permission and return authorization number. Any material that is authorized to be returned may be subject to a minimum handling charge.

DEFECTIVE MATERIAL:
Any material that proves defective will be replaced at no charge. Our sole responsibility is limited to the actual replacement of the material involved. We accept no responsibility for labor or kindred claims.

ADJUSTMENTS:
Any adjustments on purchase order must be made within 3 days from receipt of merchandise. No exceptions. Phone orders must be accompanied by a written confirmation to the factory.

GOVERNING LAW:
All contracts accepted by Charman Manufacturing shall be governed by, construed and enforced in accordance with the law of the State of California.
